Photography Services Agreement

This Photography Services Agreement ("Agreement") is entered into as of the date above, by and between CalidadProMedia ("Photographer") and the Client named above. Both parties agree to the following terms and conditions.

2. Project Fees & Payment

Payment Schedule:

• 50% non-refundable retainer due upon signing to confirm booking.
• Remaining 50% due on or before the shoot date.
• For projects over $2,000, a milestone payment plan may be arranged in writing.

Accepted Methods: Check (payable to CalidadProMedia), Zelle, PayPal, Credit Card (+3% fee).

3. Deliverables

• Final edited high-resolution JPEG images (min 3000px, 300 dpi) optimized for web and print.
• Delivered via private online gallery or cloud link within the selected package's turnaround period.
• Includes standard color correction, exposure adjustment, and background retouching.

4. Image Usage & Licensing

Upon full payment, Client receives a non-exclusive license for e-commerce listings, owned social media, digital advertising, and printed materials for the photographed products. Commercial Pro includes full commercial usage.

Excluded: Resale, third-party licensing, national broadcast/billboard (require separate agreement). Photographer retains copyright and may use images for portfolio unless confidentiality is requested in writing.

5. Client Responsibilities

• Deliver products clean and display-ready at least 24 hours before session.
• Provide creative brief or mood board at least 3 business days before session.
• Client is responsible for products lost or damaged in transit.
• A representative must be reachable on shoot day.

6. Cancellation & Rescheduling

• Rescheduling (72+ hrs notice): One free reschedule; after that, $75 fee.
• Cancellation 8+ days out: Retainer forfeited; balance not owed.
• Cancellation within 7 days: 100% of total fee is owed.
• Photographer cancellation: Full retainer refunded; alternative dates offered.

7. Limitation of Liability

Photographer's liability shall not exceed fees paid. Not liable for indirect or consequential damages. Equipment failure: liability limited to full refund of fees paid.

8. Product & IP Warranty

Client warrants the legal right to photograph all submitted products and agrees to indemnify CalidadProMedia from any related IP claims.

9. Governing Law

Governed by the laws of the Commonwealth of Kentucky. Disputes submitted to binding arbitration in Boone County, Kentucky.

10. Entire Agreement

This Agreement is the entire understanding between parties. Modifications must be in writing and signed by both parties.

11. Signatures

By signing below, both parties confirm they have read, understood, and agreed to all terms.
